Terms of Use – Proper ID Mobile Application

1. Introduction

These Terms of Use (“Terms”) govern your access to and use of the Proper ID mobile application (“Proper ID App” or “App”), operated by Proper User UAB, a company incorporated and registered in the Republic of Lithuania (“Proper,” “we,” “us,” or “our”).

The Proper ID App is a secure digital identity verification application designed to perform enhanced identity verification, authentication, and regulatory compliance processes.

By downloading, installing, accessing, or using the App, you agree to be legally bound by these Terms.

If you do not agree, you must not use the App.

2. Eligibility

You must:

• Be at least 18 years old
• Hold or be in the process of creating a Proper User account
• Provide accurate and complete information
• Use the App only for lawful purposes

We reserve the right to suspend or deny access at our sole discretion.

3. Purpose of the App

The Proper ID App is used to:

• Perform enhanced KYC verification
• Conduct identity confirmation
• Verify government-issued identification
• Perform liveness detection
• Record selfie and video verification
• Confirm residential address
• Verify country-level location
• Approve authentication requests from partner platforms
• Generate secure OTP authentication codes

The App does not function as a government-issued identity document.

4. Account Security

You are responsible for:

• Maintaining the confidentiality of your PIN
• Securing your mobile device
• Enabling biometric protection where available
• Reporting unauthorized access immediately

Proper is not liable for losses resulting from device compromise or failure to secure your credentials.

5. Biometric and Identity Verification

By using the App, you acknowledge that:

• Facial images and video recordings may be captured
• Liveness detection technology may be used
• Identity documents must be captured via live camera only
• Uploaded gallery files may not be accepted

Biometric data processing is governed by our Privacy Policy.

6. Location Verification

The App may request one-time access to your device location for country-level verification.

Proper does not perform continuous tracking.

Location access requires your consent but may be necessary for certain verification steps.

7. Authentication Requests

The App may display requests to:

• Approve login attempts
• Approve partner platform authentication
• Generate OTP codes
• Confirm identity actions

You are responsible for reviewing and approving or rejecting such requests.

Proper is not liable for approvals made by you.

8. Verification Status

Upon successful verification, a Proper ID Number may be issued.

Verification status:

• May be shared with partner platforms upon your authorization
• Does not guarantee acceptance by any third party
• May be revoked if information becomes inaccurate

9. Regulatory Compliance

Proper may:

• Conduct AML screening
• Conduct sanctions checks
• Request additional documentation
• Deny or revoke verification

We may disclose information to authorities if legally required.

10. Prohibited Conduct

You may not:

• Provide false information
• Upload falsified documents
• Attempt to bypass identity checks
• Use another person’s identity
• Interfere with App security

Violation may result in account termination and legal action.

11. Suspension and Termination

We may suspend or terminate access if:

• Fraud is suspected
• Regulatory risk arises
• False information is detected
• You violate these Terms

Termination may occur without prior notice where legally required.

12. Limitation of Liability

The App is provided “as is.”

Proper User UAB shall not be liable for:

• Denial of access by partner platforms
• Business losses
• Indirect or consequential damages
• Third-party decisions
• Regulatory determinations

Proper does not guarantee uninterrupted service.

13. Intellectual Property

All content, software, trademarks, and technology within the App are the exclusive property of Proper User UAB.

Unauthorized use is prohibited.

14. Amendments

We may update these Terms from time to time.

Continued use constitutes acceptance of updated Terms.

15. Governing Law

These Terms shall be governed by the laws of the Republic of Lithuania.

Any disputes shall be subject to the exclusive jurisdiction of Lithuanian courts.
