1. Introduction

Welcome to Proper.

These Terms of Service (“Terms”) govern your access to and use of:

Proper User (web platform)
Proper ID (mobile application)
Any related services, features, verification processes, and integrations (collectively, the “Services”).

The Services are operated by:

Proper User UAB, a company incorporated and registered in the Republic of Lithuania (the “Company,” “Proper,” “we,” “us,” or “our”).

By creating an account, accessing, or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the Services.

2. Eligibility

To use the Services, you must:

Be at least 18 years old
Have the legal capacity to enter into a binding agreement
Provide accurate and complete information
Not be prohibited from using identity verification services under applicable law

We reserve the right to suspend or terminate accounts that do not meet these requirements.

3. Description of Services

Proper provides a digital identity verification ecosystem consisting of two components:

3.1 Proper User (Web Platform)

Proper User enables:

Account creation
Pre-verification data submission
Document upload (pre-verification stage)
Digital declarations
Optional KYB (business verification)
Identity proof requests between users
Platform integrations

Proper User does not complete final identity verification.

3.2 Proper ID (Mobile Application)

Proper ID enables:

Advanced KYC verification
Secure PIN and biometric authentication
Email and SMS OTP verification
Live camera-based document capture
Liveness detection
Video selfie with date confirmation
Address and proof-of-address verification
Location verification (country-level only)
Secure system notifications
OTP generation for partner platforms

Final identity verification is completed only after Proper ID verification is approved.

4. Account Registration

When registering, you agree to:

Provide true, accurate, and current information
Maintain the security of your login credentials
Keep your email and phone number active
Not share your account with any third party

You are fully responsible for all activity under your account.

5. Two-Stage Verification Process

Proper operates under a two-stage model:

Stage 1 – Pre-Verification (Proper User)

Includes:

Personal information submission
Document uploads
Digital declarations
Optional business verification (KYB)

This stage does not result in a Proper ID number.

Stage 2 – Full Verification (Proper ID)

Includes:

OTP verification (email and SMS)
Secure PIN setup
Biometric authentication (optional)
Live document capture via camera
Liveness detection
Video selfie with current date
Residential address submission
Proof-of-address verification
Consent confirmations

Only after successful completion of Stage 2 will a Proper ID Number be issued.

We reserve the right to:

Reject verification
Request additional documentation
Require re-verification at any time

6. Proper ID Number

Upon successful verification:

A unique Proper ID Number is generated
The ID is automatically linked to the Proper User account
The ID may be used on supported partner platforms

The Proper ID does not replace any government-issued identification document.

7. User Responsibilities

You agree that:

All information provided is accurate and truthful
All documents submitted belong to you
You will not submit altered, forged, or fraudulent documents
You will not attempt to bypass verification mechanisms
You will not misuse the Services

Fraudulent activity may result in:

Immediate suspension
Permanent termination
Reporting to relevant authorities where required by law

8. KYB (Business Verification)

If you submit Business Identity information, you confirm that:

You are authorized to act on behalf of the business
All business data is accurate
All submitted entity documents are authentic

We reserve the right to independently verify business data.

9. Partner Platform Use

When using Proper ID with third-party platforms:

Only verification status is shared
Raw identity documents are never shared
OTP confirmation may be required
User consent is required before sharing verification status

Proper is not responsible for third-party platform policies or actions.

10. Location Verification

Location verification:

Is one-time only
Is limited to country-level accuracy
Is not continuous tracking
Requires user consent

We do not monitor real-time movement.

11. Data Security

We implement:

Encrypted data storage
Secure camera-only document capture
Access controls
Audit logs

However, no system can guarantee absolute security.

12. Prohibited Conduct

You may not:

Use false identities
Impersonate others
Use the Services for unlawful purposes
Interfere with system security
Reverse engineer the application
Attempt unauthorized access to other accounts

Violations may result in immediate termination.

13. Suspension and Termination

We may suspend or terminate accounts:

For breach of these Terms
For suspicious or fraudulent activity
For legal or regulatory compliance
At our discretion where risk is identified

Users may request account deletion by contacting support.

14. Intellectual Property

All trademarks, software, content, branding, and systems are owned by Proper User UAB. You may not copy, distribute, modify, or reverse engineer any part of the Services without written permission.

15. Disclaimer

Proper provides digital identity verification services only.

Proper:

Is not a government authority
Does not issue official identification documents
Does not guarantee acceptance by all platforms

The Services are provided “as is” without warranties of any kind.

16. Limitation of Liability

To the maximum extent permitted by law:

Proper User UAB shall not be liable for:

Indirect or consequential damages
Loss of profits
Loss of data
Third-party misuse
Platform integration failures

Total liability shall not exceed any amount paid (if applicable) for the Services.

17. Indemnification

You agree to indemnify and hold harmless Proper User UAB from any claims, damages, liabilities, or expenses arising from:

False information submitted
Misuse of the Services
Violation of applicable law
Breach of these Terms

18. Changes to These Terms

We may update these Terms from time to time. Users will be notified of material changes. Continued use of the Services constitutes acceptance of updated Terms.

19. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania.

Any dispute, claim, or legal proceeding arising out of or relating to these Terms or the use of the Services shall be subject to the exclusive jurisdiction of the courts of the Republic of Lithuania.

Use of Proper ID with Partner Platforms

Proper User UAB provides independent digital identity verification services through the Proper User platform and Proper ID mobile application. Proper is not a financial institution, government authority, or regulated compliance body, unless explicitly stated otherwise.

Upon successful completion of the full verification process within the Proper ID mobile application, a Proper ID Number is issued and linked to the user’s Proper User account.

Where a user elects to authenticate or access a third-party platform that has integrated with Proper (“Partner Platform”):

Proper may transmit verification status data only (e.g., verified identity confirmation, age verification status, country-level location confirmation, or business verification status).
Proper does not transmit raw identity documents, biometric recordings, facial templates, uploaded files, or underlying verification materials to Partner Platforms.
Transmission of verification status occurs solely upon the user’s explicit action, request, or authorization.
Proper maintains audit logs of verification authorizations and authentication events.

Partner Platforms operate independently and are solely responsible for:

Their own regulatory compliance
Their own KYC / AML obligations
Their own security standards
Their own acceptance criteria for users

Proper does not guarantee that a Partner Platform will accept, rely upon, or honor a Proper ID verification result.

Partner Platforms may, at their sole discretion:

Require additional documentation
Conduct independent verification
Deny access for any reason
